Licence Agreement

In short
Buy a licence and the code is yours to use in as many projects as you like, commercial or otherwise, forever.
What you cannot do is repackage it and sell it as a competing component library, or share your key with more developers than your plan covers.
Because the code is delivered immediately and cannot be returned, purchases are final and there are no refunds — but tell us if something is broken and we will put it right.
This summary is for orientation only — the text below is what applies.
1. The licence
Subject to these terms and payment in full, Profound, Inc. grants you a worldwide, non-exclusive, non-transferable, perpetual licence to use, copy and modify the blocks, templates and related source code (the "Materials") in software you build.
The licence is perpetual for the Materials you have received. It does not expire, and it survives cancellation of your account or discontinuation of the product.
2. Seats
A licence is sold by the number of individual people who may use the Materials. It is not limited by project, application, machine or end user.
- Personal — one named developer.
- Team — up to ten named developers at one organisation.
- Agency — an unlimited number of developers at one organisation.
Each person occupying a seat receives their own key. You may reassign a seat to a different person at any time — for example when someone leaves — by revoking it and inviting their replacement from your account. You may use your own key on as many of your own computers as you need.
Projects and end users are unlimited on every plan. There are no royalties and no limits on how many people use the software you build.
3. What you may do
- Use the Materials in unlimited personal, internal and commercial projects.
- Modify the Materials however you like. There is no obligation to keep attribution in your source.
- Ship the Materials, modified or not, as part of a product you sell, including SaaS, desktop and mobile applications.
- Keep and continue using the Materials after your access to updates ends for any reason.
4. What you may not do
- Redistribute the Materials, in whole or substantial part, as a component library, UI kit, theme, template or starter — whether sold, given away or open-sourced. This is the single restriction that matters, because it is the one that would replace the product.
- Publish the Materials in a public repository, gist, package registry or anywhere else they can be obtained without a licence.
- Share your key, or allow the Materials to be used by more people than your plan covers.
- Use the Materials to train a machine-learning model intended to generate user interface code.
- Remove or circumvent licence checks in the CLI, the registry API or the MCP server.
5. Client work
On the Agency plan you may use the Materials in projects you build for clients, and deliver the resulting source code to them.
Your client may keep, use and modify the code you delivered for that project indefinitely, without needing their own licence. They may not extract the Materials from it to build separate products, and they do not receive updates. If your client wants to build with Toro UI themselves, they need their own licence.
On the Personal and Team plans, every developer who works with the Materials — including contractors and client staff — must occupy a seat on your licence.
6. Ownership
Profound, Inc. retains all intellectual property rights in the Materials. This is a licence to use them, not a sale of the underlying rights.
You own everything you create. Any product, application or derivative work you build using the Materials is yours, and nothing in this agreement gives us a claim over it.
7. Updates
Your licence includes every update, addition and new block we publish to Toro UI for as long as the product is maintained. There is no renewal and no subscription.
If we stop maintaining Toro UI, or release a separate successor product, your licence continues to cover everything you have already received. A successor product would be a separate purchase. Nothing you have installed stops working.
8. Refunds
The Materials are digital goods delivered immediately and cannot be returned once downloaded, so purchases are final and we do not offer refunds. If something is genuinely broken or not as described, email us and we will sort it out.

9. Termination
If you breach section 4, we may revoke your access to downloads and updates. Given the nature of source code, we will normally raise it with you first.
Where a purchase is refunded or reversed — including a chargeback — the licence granted by that purchase ends, and you must stop using and delete the Materials obtained under it.
10. Changes
We may update this agreement for future purchases. The version in force when you bought continues to govern that purchase, so a later change can never retroactively restrict what you already licensed.
