In short

These terms cover your account and your purchase. What you may do with the code itself is in the Licence Agreement.

Purchases are sold by Polar Software, Inc., who are the merchant of record and handle payment and tax.

The code is delivered the moment you pay and cannot be returned, so purchases are final.

This summary is for orientation only — the text below is what applies.

1. Who you are contracting with

Profound, Inc. provides the Toro UI website, catalogue, CLI and MCP server. Your use of them is governed by these terms and by the Licence Agreement.

Purchases are sold by Polar Software, Inc., who act as merchant of record and authorised reseller. When you buy, your payment contract is with them and their own buyer terms apply alongside these; the licence to use the Materials is granted to you by Profound, Inc. under the Licence Agreement. Polar Software, Inc. is responsible for collecting and remitting any VAT, GST or sales tax due.

We never see or store your card details. Payment information is handled entirely by Polar Software, Inc..

2. Your account

You need an account to buy a licence and to access purchased source. You must give accurate information and keep your credentials secure.

Your seat key authenticates downloads through the CLI and the registry API. Treat it as a credential. You are responsible for activity carried out with your key, and you can rotate it at any time from your account if you believe it has been exposed.

We record which devices use a key and how often it downloads, to detect keys being shared beyond the seats a licence covers. Where usage suggests that, we will contact the licence owner before taking any action.

3. Plans and upgrades

Plans are one-time purchases, priced by the number of developers who may use the Materials. Current plans and prices are on the pricing page.

You may move to a higher plan at any time. When you do, everything you have already paid us is credited against the higher plan's price, so reaching a plan in steps costs the same as buying it outright. Downgrades are not available, and plans are not exchangeable for credit or cash.

4. Prices and tax

Prices are shown in US dollars and exclude tax. Any VAT, GST or sales tax is calculated and added at checkout by Polar Software, Inc. based on your location, and shown before you pay.

We may change prices at any time. A change never affects a purchase you have already made, and never affects the credit you receive when upgrading.

5. Refunds

The Materials are digital goods. They are delivered in full the moment payment completes, and cannot be returned once downloaded. Purchases are therefore final and we do not offer refunds — including where you change your mind, no longer need the licence, or have not used what you bought.

If the product is broken, materially not as described, or you were charged in error, write to mail@weareprofound.com and we will put it right. Fixing the problem is normally the remedy; a refund is given where it is not.

Nothing here limits statutory rights you may have as a consumer under the law of your country. Where such rights apply, they take precedence over this section.

6. Acceptable use

You agree not to attempt to gain unauthorised access to the registry, the API or other customers' accounts, to scrape or bulk-download the catalogue beyond normal use, or to interfere with the service's operation.

We apply rate limits per seat. If you have a legitimate need that exceeds them, get in touch rather than working around them.

7. Availability

We aim to keep the service available but do not guarantee uninterrupted access. Maintenance, outages and third-party failures happen.

This matters less than it might: the CLI writes source code into your repository, where it is committed alongside your own. Your builds and deployments never contact us, so an outage on our side cannot break your application or your release.

8. Warranties

The Materials and the service are provided "as is". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Materials are free of defects or that they will meet your requirements. You are responsible for reviewing and testing any code you ship.

9. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to these terms or the Materials is limited to the amount you paid us in the twelve months before the claim arose.

We are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if advised of the possibility.

Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

10. Governing law

These terms are governed by the laws of the State of New York, United States, without regard to its conflict of law rules. The courts of that jurisdiction have exclusive jurisdiction over disputes, except where mandatory local law gives you the right to bring proceedings where you live.

11. Changes

We may update these terms. Material changes will be reflected in the date at the top of this page. Continuing to use the service after a change means you accept the updated terms; the terms governing a completed purchase do not change retroactively.
